This Non-Disclosure Agreement (“Agreement”) is made and entered into on the Effective Date stated above by and between Coded Team Solutions, hereinafter referred to as the “Disclosing Party,” and ________________________, hereinafter referred to as the “Receiving Party.”
The parties agree to enter into this Agreement for the purpose of protecting certain confidential and proprietary information that may be disclosed during the course of business discussions, collaborations, or professional engagements.
For the purposes of this Agreement, “Confidential Information” shall include, but not be limited to, any non-public information disclosed by the Disclosing Party to the Receiving Party, whether in written, electronic, visual, or oral form.

The Receiving Party agrees to:
a. Maintain all Confidential Information in strict confidence and exercise a reasonable degree of care to protect such information.
b. Use the Confidential Information solely for the purpose of evaluating or participating in business or professional activities with the Disclosing Party.
c. Not disclose, distribute, reproduce, publish, or otherwise make available the Confidential Information to any third party without the prior written consent of the Disclosing Party.
d. Take all reasonable measures to prevent unauthorized access, disclosure, or misuse of the Confidential Information.
Confidential Information shall not include information that:
This Agreement shall remain in effect from the Effective Date until terminated by either party in writing.
Notwithstanding termination, the Receiving Party’s obligation to maintain the confidentiality of the disclosed information shall continue for a period of five (5) years from the date such information was disclosed.
The Receiving Party acknowledges that unauthorized disclosure or misuse of Confidential Information may cause significant harm to the Disclosing Party.
In the event of a breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to seek legal remedies, including but not limited to:
This Agreement shall be governed by and construed in accordance with the applicable laws and jurisdiction governing the Disclosing Party’s place of business, unless otherwise mutually agreed in writing by both parties.
This Agreement constitutes the entire understanding between the parties concerning the protection of Confidential Information and supersedes all prior discussions or agreements relating to the subject matter herein.
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
